End User License Agreement

This End User License Agreement (EULA) governs access to Seibertron Wholesale Hub, a hosted Shopify application provided by SHENYANG SEIBERTRON E-COMMERCE CO., LTD.

1. License grant

Subject to these terms and any approved Shopify billing plan, we grant an approved merchant a limited, non-exclusive, non-transferable license to use the hosted application for the merchant's authorized Shopify stores during the active subscription or partner authorization period. This is permission to use the service, not a sale or transfer of the software, source code, copyright, or trademarks.

2. Ownership and brand rights

The application, interface, documentation, original content, and related technology remain owned by or licensed to SHENYANG SEIBERTRON E-COMMERCE CO., LTD. Seibertron® and the Seibertron logo are trademarks of SHENYANG SEIBERTRON E-COMMERCE CO., LTD. No trademark, copyright, or source-code ownership is transferred.

3. Restrictions

Unless applicable law prohibits a restriction, merchants must not copy, modify, reverse engineer, decompile, resell, rent, sublicense, redistribute, or provide unauthorized access to the application or its source code. Merchants must not use the service to copy product content without authorization or bypass Shopify checkout, billing, privacy, or platform controls.

4. Supplier and dealer responsibilities

Suppliers control catalog authorization, negotiated supply prices, and supplier fulfillment decisions. Dealers collect payment from their own customers and remain responsible for customer service, customer refunds, returns, and local fulfillment. Supplier settlement refunds or credits are separate commercial transactions and do not replace a dealer's customer refund obligation.

5. Billing, suspension, and termination

App subscription charges are presented and processed through Shopify's app billing flow. We may suspend access for non-payment, expired or revoked partner authorization, unlawful use, security risk, or material breach. Termination does not erase historical orders, settlement records, audit records, or legal obligations.

6. Data and privacy

Data processing is described in our Privacy Policy. Merchants must have the rights and permissions needed to provide data to the service and connect supplier and dealer stores.

7. Availability and liability

We use reasonable operational and security controls but do not promise uninterrupted service or that every external Shopify, payment, carrier, or warehouse operation will succeed. To the extent permitted by law, the service is provided without implied warranties and liability is limited to the fees paid for the affected service during the applicable period. Nothing in this EULA excludes liability that cannot lawfully be excluded.

8. Governing law and dispute resolution

This EULA and any non-contractual obligations arising out of or in connection with it are governed by the laws of the Hong Kong Special Administrative Region, excluding its conflict-of-laws rules.

Any dispute, controversy, difference, or claim arising out of or relating to this EULA, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The tribunal shall consist of one arbitrator. The language of arbitration shall be English.

Nothing prevents either party from applying to a court of competent jurisdiction for urgent interim, injunctive, confidentiality, evidence-preservation, or intellectual-property relief. Nothing in this EULA limits rights or remedies that cannot lawfully be excluded or waived under applicable mandatory law.
